FRANCHISE AGREEMENTS AND THE RISK OF ESTABLISHING THE DOMINANT ABUSIVE CONDUCTS

Abstract
A franchise agreement is the legal basis for forming a franchise relationship. One of the factors ensuring the sustainable development and success of a franchise system is the consistency in the system. The consistency of the franchise system requires the franchisee to be obliged to comply with the franchisor’s business model, agree on the elements related to the business process such as the quality of the goods or services, prices, mode of service, layout of the business premises … Such conditions limit the options of the franchisee, restricting competition between parties in the same system of transfer rights. In cases where the franchisor holds the dominant market position by imposing terms on the franchisee, the acts of the high-risk franchisee shall be regarded as a dominant abusive conduct, violating Vietnamese Competition Law.
